- Clients are responsible for legal compliance of their offers, claims, and listing content.
5. Pricing and Payments
- Fees are provided in proposals, invoices, or written service agreements.
- Work may begin after required upfront payment is received.
- Ongoing retainers/subscriptions are billed per agreed cycle.
- Client remains responsible for third-party costs such as ad spend, platform fees, domains, hosting, and external tools.
6. Refunds and Cancellations
Refunds are handled under our published Refund Policy. By using our services, you agree that refund decisions are based on project stage, delivered work, and documented effort.
7. No Guaranteed Results
Marketing outcomes (including lead volume, conversion rate, cost per lead, or return on ad spend) are influenced by market, budget, competition, audience behavior, platform policy changes, and client responsiveness. Therefore, specific performance results cannot be guaranteed.
8. Intellectual Property
- Client-owned assets remain client property.
- Deliverables created and fully paid for may be transferred for client use, unless otherwise stated in writing.
- We retain ownership of pre-existing frameworks, methods, templates, and proprietary processes.
9. Acceptable Use
Clients must not use our services for unlawful, fraudulent, misleading, discriminatory, or policy-violating activities, including violations of advertising platform rules or consumer protection laws.
10. Third-Party Platforms
Campaigns and automations may rely on external services (for example, Meta, Google, CRM tools, and email providers). We are not responsible for outages, account restrictions, policy enforcement, or pricing changes made by such third parties.
11. Confidentiality
Both parties agree to handle non-public business information with reasonable confidentiality and use it only for agreed service purposes.
12. Limitation of Liability
To the maximum extent permitted by law, ScaleLeadMedia will not be liable for indirect, incidental, special, punitive, or consequential damages, including loss of revenue, profits, leads, or business opportunities.
13. Indemnification
Client agrees to indemnify and hold harmless ScaleLeadMedia from claims, liabilities, and costs arising from client-provided materials, legal violations, false representations, or misuse of delivered services.
14. Termination
Either party may terminate service in writing. Client is responsible for payment of completed work and committed service periods up to termination date.
15. Governing Terms and Disputes
Parties agree to attempt good-faith resolution through direct written communication first. If unresolved, disputes will be handled under applicable law and appropriate jurisdiction as mutually determined or required.
16. Changes to Terms
We may update these Terms and Conditions from time to time. Updates become effective when posted on this page with the updated date.
